Brooks Runner Insights Circle Terms and Conditions

Please read these Brooks Sports, Inc. (“Brooks”) Runner Insights Circle (“Runner Insights Circle”) Terms and Conditions carefully. By applying for and/or participating in the Runner Insights Circle, including but not limited to completing surveys and providing feedback, you agree to be bound by these terms and conditions, which include all terms incorporated by reference and other Runner Insights Circle rules we may publish from time to time (collectively, the “Terms”). If you do not agree to all of these Terms, do not apply to or participate in the Runner Insights Circle. If you do not agree to the full Terms (including any updates we may release as described below), you have no right to and should not participate in the Runner Insights Circle.

1. Only individuals approved by Brooks can participate in the Runner Insights Circle. Your Runner Insights Circle participation is not transferable or assignable to any other individual or entity. You must keep your profile secure and confidential. Participation in the Runner Insights Circle is not guaranteed and can be revoked by Brooks at any time for any reason, including without limitation, for your failure to comply with any of these Terms. Using the Runner Insights Circle program for anything other participating in surveys and providing Feedback (defined below) will result in termination of your participation and a permanent ban from the program.
2. Enrollment in the Runner Insights Circle may require verification of your eligibility for participation, including but not limited to employment or significant involvement with competitor brands. Brooks may also ask for updated verification if we have reason to believe that your participation in the Runner Insights Circle is violating any of these Terms or any other Runner Insights Circle rules. You are responsible for promptly notifying us if your eligibility status changes at any time.
3. The Runner Insights Circle is only open to individuals residing in the United States. You must be 18 or older or have reached the age of majority in your state. You must have regular access to the internet and an individual email address (each applicant must have an individual email account). Employees, officers, or representatives of Brooks, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible to participate. If you are employed (or involved in a significant way beyond as a general customer) in the following industries, you are not eligible to participate: athletic footwear or athletic apparel manufacturer or retailer; market research or marketing; advertising, graphic design, or public relations.
4. From time to time, Brooks may offer merchandise benefits (“Benefits”) to Runner Insights Circle participants. These Benefits can only be redeemed over the phone with Brooks directly, online at brooksrunning.com, or in-person at the Brooks Trailhead store. They are not available at any retailer or dealer location.
5. As a participant in the Runner Insights Circle, you agree to keep all information received from Brooks confidential. You will not disclose to any third party any information that is or may be deemed to be confidential or proprietary in nature. Such confidential and proprietary information includes, but is not limited to, information regarding footwear, apparel, materials, designs, marketing strategies, future product plans, and any media or photographs related to Brooks’ products. You further agree not to sell or share any product or product-related knowledge provided by Brooks with any third parties, including but not limited to Brooks’ retailers and dealers, and any media or online sources. Examples of restricted information include the product itself, images or photos of the product, opinions on the product, and any feedback regarding its performance, design, or aesthetics. Brooks reserves the right to take such action as it deems necessary to protect its confidential and proprietary information. Any violation of these confidentiality obligations will result in termination from the program and may lead to personal liability for breach of these Terms.
6. If you receive any products from Brooks for testing, the product you test will remain the sole property of Brooks. You will not loan, sell, or give the product to anyone. After testing, you will promptly return the product if requested.
7. Your responses to any Runner Insights Panel surveys, materials, or other research methods, including without limitation, any feedback, ideas, or opinions regarding Brooks products or services, provided in any form, including comments on or suggested changes to Brooks’ current or future products (collectively, “Feedback”) are the sole and exclusive property of Brooks. Brooks may use such Feedback for any purpose whatsoever, without any obligation to credit or compensate you, and under no obligation to keep the Feedback confidential. To the extent any of your responses to the surveys, materials or other research methods constitute your personal information, you hereby grant Brooks a perpetual, worldwide, irrevocable, transferable, non-exclusive, sub-licensable royalty-free license to use, modify, distribute, reproduce, create derivative works from, and perform/display such personal information for Brooks research purposes.
8. Please respect all Runner Insights Circle rules (including without limitation, these Terms), please keep the details of the Runner Insights Circle confidential, and do not abuse this privilege. By applying for the Runner Insights Circle you certify that you are eligible and will comply with these Terms and all other rules of the Runner Insights Circle. Brooks reserves the right, in its sole discretion, to terminate any Runner Insights Circle participant or suspend or terminate your Runner Insights Circle participation for any reason and at any time, with or without notice. Brooks also reserves the right to terminate the Runner Insights Circle program at any time in its sole discretion.
9. By applying to the Runner Insights Circle, you consent to the Brooks Privacy Policy, and Brooks Terms of Use. You agree that Brooks may collect information about you, including demographic information and information about prior or current running-related conditions and injuries, for the purposes of improving Brooks products and services. All information will be collected and used in accordance with Brooks Privacy Policy. Brooks collects this information about you so that we can contact you regarding surveys and so that we send you surveys that are most applicable to your interests and experience. You further agree that Brooks may collect and use information about you and your use of the products, including without limitation your biometric data and personal information submitted in connection with your application and your participation in the Runner Insights Circle program, all in accordance with Brooks Privacy Policy. Runner Insights Circle participants can opt into Brooks marketing emails which will include product launches, promotions, etc. If you request to have your personal information deleted from Brooks systems, you will be automatically removed from the Runner Insights Circle, and if you wish to be reinstated, you will need to re-apply for the Runner Insights Circle.
10. If Brooks offers a sweepstakes, contest, or other promotion to Runner Insights Circle participants (each, a “Promotion”), the terms and conditions of these Terms will apply along with the official rules specifically created for any such Promotion. To the extent that any provision of any such official rules conflicts with any of the terms hereof, the terms of the official rules shall govern, subject to applicable law. By participating in a Promotion (except where prohibited by law), each participant hereby consents to the use of his or her name, likeness, voice, biography, and other related data in any of Brooks’ (and/or its affiliates’ or partners’) advertising, promotion and marketing materials throughout the world at any time and in any manner, without additional compensation being due to any such participant, and participant agrees to waive any moral rights thereto. In no event shall Brooks be liable for any alleged infringement by any such sponsoring entity for any reason at any time, and participant hereby waives any claim he or she may have against Brooks (and/or any of its partners or affiliates) in connection with same.
11. Brooks retains the right to update and revise the Runner Insights Circle Terms and/or rules in its sole discretion at any time and with or without notice to you. Any updates will be posted to our Runner Insights Circle page on our website and/or emailed to the email address on file. Your participation in the Runner Insights Circle after we post or notify you of changes to these Terms will constitute acceptance of such updated Terms.
12. No waiver will be implied from Brooks’ conduct or failure to enforce or exercise rights under these Terms, nor will any waiver be effective unless in a writing signed by a duly authorized representative on behalf of Brooks.

Brooks Runner Insights Circle Sweepstakes

Official Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. ELIGIBILITY: The Brooks Runner Insights Circle Sweepstakes (“Sweepstakes”) is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of entry. Void outside the USA, in Puerto Rico, the US Virgin Islands, and other United States territories and possessions. Employees of Brooks Sports, Inc. (“Sponsor”), any of its affiliates, subsidiaries, wholesalers, distributors, retailers, sales representatives and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Sweepstakes, including the immediate family members (parent, child, spouse and sibling) and members of the same household of such individuals are not eligible to participate.

2. SPONSOR: Brooks Sports, Inc., 3400 Stone Way N. Suite 500, Seattle, WA 98103, U.S.A.

3. ENTRY PERIOD: The sweepstakes begins on December 1st, 2024 at 12:00 am PST and ends on December 31st, 2024 at 11:59 pm PST (the “Entry Period”). Sponsor’s computer is the official time-keeping device for the Sweepstakes.

4. HOW TO ENTER: During the Entry Period, you may enter the Sweepstakes in one of the following two ways:

a. Survey Response: Follow the links and instructions to complete all survey questions in the Brooks Runners Circle Intake Survey that will be made available to you by Brooks. You must include your valid email address in your survey response.

b. Alternate Method of Entry: To enter without completing a survey, print your name, address, day and evening phone numbers, email address, and date of birth (used to validate eligibility) on a piece of paper and mail it in an envelope with proper postage to: Brooks Runner Insights Circle intake survey sweepstakes” c/o Brooks Sports, Inc., 3400 Stone Way North, Suite 500, Seattle, WA 98103, USA. All mail-in entries must be postmarked by the end date of the Entry Period (except for Sundays and holidays for which entries must be postmarked on the following business day) and received by Brooks within five (5) business days.

c. Limitation on Entries: You may enter one time during the Entry Period, regardless of method of entry. LIMIT ONE ENTRY PER PERSON PER EMAIL ADDRESS. No third-party entry or entry through any sweepstakes service is permitted. Any person who attempts or otherwise encourages the entry of multiple or false contact information under multiple identities or uses any device or artifice to enter or encourage multiple or false entries, as determined by Sponsor in Sponsor’s sole discretion, will be disqualified. Use of robotic entry devices is strictly prohibited. In the event of a dispute, the authorized account holder of the email address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.

5. PRIZES: Three (3) Prizes will be awarded, which consist of: One (1) pair of Brooks Running Shoes per winner. Approximate Retail Value (“ARV”): $140.00 - $160.00. The Prize will be sent to you by Brooks once you have confirmed eligibility and selected your preferred model, size, width and color and provided Brooks with a valid mailing address. The Prize is non-transferable and cannot be exchanged for cash or substituted, except at the Sponsor’s sole discretion. Winners are solely responsible for all federal, state, and local taxes and any other expenses associated with the Prize.

6. DRAWING & WINNER NOTIFICATION:

Three winners will be randomly selected from all eligible entries collected during the Entry Period on or around January 1st, 2025. The drawing will be conducted by Sponsor, whose decisions and interpretations on all matters relating to the Sweepstakes. Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a Prize to a person who has violated a rule, gained unfair advantage in the Sweepstakes, or obtained winner status using fraudulent means. If a winner is found to be ineligible or not in compliance with these Rules, the winner will be disqualified and an alternate winner will be awarded the Prize in a separate, random drawing. Only three (3) alternate drawings will be held, after which the Prize will remain un-awarded. Potential winners will be notified by email, and may, in Sponsor’s sole discretion, be required to provide their names, home mailing address (P.O. Boxes may not be permitted), and date of birth (“Winner Information”) to confirm eligibility and for purposes of Prize fulfillment. All such Winner Information must be received by Sponsor within five (5) days of the date Sponsor sends the notification email. If a potential winner fails to submit the Winner Information within this required period, cannot be contacted, or the Prize is otherwise unable to be delivered, the potential winner forfeits the Prize. As a condition of being awarded any prize or gift, potential winners may be required to sign and return an Affidavit of Eligibility, Release of Liability, and Publicity Release (where permitted by law) within a specified time period. Failure to do so may result in disqualification and an alternate winner being selected.

7. ODDS: Odds of winning depends on the number of eligible entries received during the Entry Period, according to the eligibility requirements in the Sweepstakes.

8. WARNING: ANY ATTEMPT BY ANY PERSON, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPLER WITH OR VANDALIZE ANY SPONSOR-OWNED WEBSITE, MOBILE APPLICATION OR SOCIAL NETWORKING SITE OR THE ENTRY PROCESS, OR OTHERWISE INTERFERE WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

9. GENERAL TERMS: By entering this Sweepstakes, you agree to abide by these Official Rules and the decisions of Sponsor, which will be final and binding in all respects. Sponsor reserves the right, at its sole discretion, to refuse, disqualify, or withdraw any entry at any time. Sponsor will not be responsible for any injury, damage or loss of any kind arising out of your participation in the Sweepstakes. BY PARTICIPATING IN THE SWEEPSTAKES, YOU ACKNOWLEDGE THAT YOUR ACCEPTANCE OF THESE OFFICIAL RULES AND PARTICIPATION IN THE SWEEPSTAKES IS AT YOUR OWN RISK. YOU AGREE TO RELEASE, DISCHARGE, AND HOLD HARMLESS SPONSOR, ITS AFFILIATEES, SUBSIDIARIES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS AND ASSIGNS FROM AND AGAINST ANY OR ALL CLAIMS, LOSSES, INJURIES, OR DAMAGES RESULTING FROM YOUR PARTICIPATION IN THE SWEEPSTAKES. If any provision of these Official Rules is invalid or unenforceable, that provision shall be struck from the Rules and the remaining provisions shall remain in full force and effect. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHTS OR CLAIMS YOU MAY HAVE AGAINST SPONSOR ARISING FROM YOUR PARTICIPATION IN THIS SWEEPSTAKES. Notwithstanding the foregoing, to the maximum extent permitted by law, you waive all rights you may have under California Civil Code Section 1542, which reads as follows:

"A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the Release, which if known by him must have materially affected the settlement with the debtor."

10. PUBLICITY: By accepting a prize, winner grants Sponsor a perpetual, worldwide royalty-free license to use winner’s name, photograph, voice and/or likeness without further authorization, compensation, or remuneration of any kind for advertising, promotion and other publicity purposes in any and all media now or hereafter known throughout the world.

11. DISPUTES: Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively in the federal and state courts located in Seattle, Washington; (ii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Washington, without giving effect to any choice of law or conflict of law rules (whether of the State of Washington or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Washington.
