Global Running Day Sweepstakes Official Rules - No Purchase Necessary

HOW TO ENTER:

No purchase or payment of any kind is necessary to enter or win. You may enter the sweepstakes by submitting a video of yourself running in Brooks shoes at brooksrunning.com/en_nl/global-running-day/. You may only enter the sweepstakes one time.

WHEN TO ENTER:

You may enter the sweepstakes at any time between February 10th and March 7th, 11.59 pm.

ELIGIBILITY:

The Sweepstakes is open to legal residents of the United Kingdom who are eighteen (18) years of age or older. Void where prohibited by law. Employees of Brooks Running, any of its respective affiliates, subsidiaries, wholesalers, distributors, retailers, sales representatives, advertising, promotion and judging agencies and the immediate family members (parent, child, spouse, and sibling) or persons living in the households of each are not eligible to enter the Sweepstakes.

WINNER SELECTION:

One person will be randomly selected at the end of each month in a random drawing from among all eligible entries received. The odds of winning depend upon the total number of eligible entries received. The Prize winners will be notified by email about 90 days post the applicable drawing day.

PRIZE:

Each winner will win one (1) free pair of Brooks Running shoes, available on brooksrunning.com/en_nl/ and valued at no more than €180. The approximate retail value (ARV) of the pair of shoes is €180. The actual value may vary. Any difference between the estimated value and the actual value will not be awarded. The Prize cannot be transferred or exchanged for cash. In the event of non-compliance with any requirement in these Official Rules, the Prize will be forfeited. Other restrictions may apply. The Prize is non-transferable, and no cash equivalent or substitution of the Prize is offered, except at the sole discretion of the Sponsor.

USER GENERATED CONTENT TERMS OF SERVICE:

You hereby grant to Brooks Sports, B.V., its affiliates and related entities (collectively, “Brooks”) a perpetual, irrevocable, royalty-free, worldwide, nonexclusive license to publish, reproduce, display, perform, distribute, adapt, edit, modify, translate, create derivative works based upon, and otherwise use and sublicense your Instagram, Twitter or other social media photograph(s), video(s), caption(s), and other content, including any content you submit to Brooks, which you have tagged with a Brooks-specific label, such as #brooksrunning; any other content that you have provided to or shared with Brooks (collectively, “Content”); or any portion of such Content, in any manner in Brooks’ sole discretion, including but not limited to on its webpages, social media accounts or in its other marketing and advertising materials. You further grant to Brooks a perpetual, irrevocable, royalty-free, worldwide, nonexclusive license to use your and any other person(s) appearing in your Content’s name (including social media handle(s)), image, voice, persona, and likeness in connection with Brooks’ commercial or other use of your Content. You hereby represent and warrant to Brooks that: (a) you own all rights in and to your Content; (b) you have permission to grant the rights herein from any person(s) appearing in your Content and any owner of background images or artwork; (c) you are not a minor; and (d) Brooks’ use of your social media handle(s) or your Content will not violate the rights of any third party or any law, including but not limited to the right of privacy and publicity. You hereby release, discharge and agree to hold harmless Brooks and any person acting on Brooks’ behalf from any liability related to Brooks’ use of your social media handle(s) or your Content.

GENERAL CONDITIONS:

All determinations made by either the Administrator with respect to the Sweepstakes, a Prize or the interpretation of the Official Rules are final and binding. By participating in the sweepstakes, entrants: (a) fully and unconditionally agree to be bound by these Official Rules and by all decisions of the Administrator including without limitation decisions regarding eligibility, winners and the interpretation of terms used in these Official Rules; (b) represent and warrant that all information provided by entrant in connection with the Sweepstakes is true, accurate and complete; and (c) agree to comply with all applicable laws and regulations. In the event of any conflict between any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in any Sweepstakes advertising materials, the details of the Sweepstakes as set forth in these Official Rules shall prevail. Sweepstakes is subject to applicable laws and regulations, and is void where prohibited. Winners shall be solely responsible for any taxes associated with being awarded the Prize. Entry materials/data that have been tampered with or altered, or mass entries, reproductions and photocopied entries, or entries generated by a script, macro or use of automated devices are void. No responsibility is assumed for: (i) lost, late, misdirected, damaged, garbled, illegible or postage due entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Administrator on account of technical problems or traffic congestion on the Internet or the website or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Sweepstakes. Failure to comply with these official rules may result in disqualification from the Sweepstakes. Administrator reserves the right to: (i) permanently disqualify from any Sweepstakes it administers any person it believes has intentionally violated these official rules; (ii) suspend, modify or terminate the Sweepstakes if Administrator believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper play of the Sweepstakes and (iii) substitute a prize, in which case a prize of equal or greater value will be awarded. If the Sweepstakes is terminated before the end date, Administrator will determine the winners from all eligible entries received as of the termination date. Entry constitutes consent to the use of prize winner's name, voice, picture and/or likeness without compensation for promotion purposes to the extent allowed by law.

RELEASE OF LIABILITY:

By participating, you release the Administrator and its parent companies, subsidiaries, affiliates, partners, employees, directors, agents, advertising agencies, and all other associated with the development and execution of this Sweepstakes, from and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that these entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the promotion and/or the awarding of any prize other than as expressly set forth in these Official Rules. By entering the Sweepstakes, you further agree that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prize awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney's fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses. ANY ATTEMPT TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE ADMINISTRATOR AND SPONSOR RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

PRIVACY:

Information submitted in connection with the Sweepstakes will be treated in accordance with: (a) these Official Rules and (b) Administrator’s Privacy Policy (as may be amended from time to time), currently available via www.brooksrunning.com/en_nl/privacy/privacy-policy.html provided, that in the event of any conflict between these Official Rules and any such Privacy Policy, the terms and conditions of these Official Rules shall prevail.

DISPUTES:

Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the United Kingdom. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant's rights and obligations, or the rights and obligations of the Administrator in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Netherlands.

WINNERS' NAMES:

To receive the names of the prize winners by mail, please mail a self-addressed stamped envelope, postmarked by the day of the applicable race and received no later than six months post the end of the applicable calendar month to “The GRD Sweepstakes”, Olympisch Station 33, 1076 DE Amsterdam, the Netherlands.
